As a Corporate Lawyer, you will take ownership of Bondora’s Estonian corporate legal matters, ensuring that governance, statutory compliance, and corporate housekeeping are executed accurately and on time. This role sits at the core of the company’s legal and regulatory framework, supporting both day-to-day operations and strategic governance needs.

You will work closely with the Legal team and cross-functional stakeholders, managing corporate processes end-to-end and helping build a scalable governance framework suited for a regulated and fast-growing fintech environment.

This role is in Estonia, and Estonian language proficiency is must have.  

Your main responsibilities will be:

  • Lead and manage Bondora’s Estonian corporate law matters, ensuring legal housekeeping, governance actions, and statutory documentation are accurate, timely, and compliant.
  • Prepare, coordinate, and maintain documentation for corporate events, including shareholders’ resolutions and meetings, management and supervisory board changes, board minutes, powers of attorney, and related approvals.
  • Manage and execute filings with the Estonian Commercial Register / Trade Registry and support other local regulatory filings required for a licensed financial services business.
  • Administer internal legal approval processes, ensuring proper review workflows, sign-offs, version control, and documentation of decisions.
  • Support the Legal team and business stakeholders with regulatory filing processes and regulator-facing submissions.
  • Advise on Estonian corporate governance requirements and contribute to building and maintaining scalable governance processes.
  • Collaborate cross-functionally to ensure legal processes support business needs while maintaining compliance standards.
  • Master of Law degree and qualification to practice law in Estonia.
  • Strong grounding in Estonian corporate law.
  • Hands-on experience with the Estonian Commercial Register / Trade Registry and filing processes.
  • Practical experience supporting shareholders’ meetings, board changes, and corporate documentation.
  • Experience with statutory filings and internal corporate approval processes.
  • Strong interest in corporate governance and ability to structure and improve governance frameworks.
  • Excellent written and spoken Estonian and English.
  • Ability to work independently in a fast-paced, evolving, and cross-functional environment.
  • Strong drafting skills, attention to detail, and structured way of working.
