Delta Capita is seeking experienced ISDA Documentation Negotiators to support our clients across the financial services sector. The successful candidates will be responsible for the end-to-end negotiation and management of OTC derivatives documentation, primarily under the ISDA Master Agreement framework. This is a client-facing contract role requiring strong technical knowledge of derivatives documentation and a commercial understanding of risk management.

 

Responsibilities

  • Lead the negotiation of ISDA Master Agreements, Credit Support Annexes (CSAs), and related schedules with counterparties including banks, asset managers, hedge funds, and corporates.

  • Draft, review, and redline ISDA documentation including Schedules, Credit Support Annexes (VM and IM), GMRA, GMSLA, and bespoke annexes.

  • Negotiate ISDA Protocol adherence letters and associated documentation (e.g., EMIR, Dodd-Frank, Margin Reform protocols).

  • Liaise with internal stakeholders including Legal, Credit Risk, Compliance, Front Office, and Operations to ensure documentation aligns with risk appetite and regulatory requirements.

  • Manage and maintain documentation pipeline through a deal tracking system; provide regular status updates to senior management.

  • Respond to counterparty queries and escalate material issues appropriately.

  • Ensure compliance with applicable regulations including EMIR, Dodd-Frank, MAS, SEBI, and RBI requirements relevant to derivatives transactions.

  • Support onboarding of new counterparties, including KYC coordination and entity classification under applicable regulations.

  • Assist with the review and implementation of industry-wide documentation initiatives (e.g., ISDA SIMM, UMR, IBOR transition).

  • Contribute to process improvement and documentation standardisation projects.

  • Minimum 4–8 years of experience in ISDA documentation negotiation within a bank, broker-dealer, asset manager, or specialist legal/compliance function.

  • Strong command of the ISDA Master Agreement (1992 and 2002), Schedule, and Credit Support Annex (both New York and English law).

  • Hands-on experience negotiating VM CSAs under EMIR/Margin Reform requirements.

  • Familiarity with IM documentation including ISDA 2016 Credit Support Annexes and Phase-in requirements under UMR.

  • Understanding of OTC derivatives products (rates, FX, credit, equity, commodities) sufficient to contextualise documentation risk.

  • Ability to manage a high-volume pipeline of negotiations independently, prioritising by risk and urgency.

  • Strong written and verbal communication skills; able to engage counterparty legal and credit teams effectively.

 

  • Experience with prime brokerage documentation (PBAs, PBSA) or repo/securities lending (GMRA/GMSLA).

  • Knowledge of clearing documentation (FCM agreements, clearing addenda).

  • Familiarity with Indian regulatory requirements (RBI/SEBI) applicable to derivatives transactions.

  • Experience using ISDA Amend or Counterparty Manager platforms.

  • Prior experience in a consulting or contracting capacity, supporting multiple client engagements simultaneously.

  • Law degree (LLB/LLM) or equivalent qualification; non-legal backgrounds considered where substantive ISDA experience is demonstrated.

 

The ideal candidate is a detail-oriented, commercially minded professional who thrives in a fast-paced environment. They will be comfortable working independently, managing multiple counterparty negotiations simultaneously, and operating as a trusted subject matter expert for both internal and client stakeholders. An ability to communicate complex documentation issues clearly and concisely — both in writing and verbally — is essential.
