Case IQ is a leading provider of investigative case management & compliance software that helps organizations manage workplace incidents, ethics reporting, compliance, and security investigations. Our platform empowers companies to resolve issues faster, reduce risk, and build stronger, more transparent workplaces.


We are seeking a Commercial Counsel to support our growing SaaS business by owning the review and negotiation of customer contracts.  Our various governance and regulatory compliance SaaS platforms handle multiple types of data including PII, special categories of data, and PHI.  Moreover, we are actively expanding into AI-powered product features. This role will focus heavily on day-to-day contract execution, working closely with Sales to help close deals efficiently while managing risk.


We are looking for a practical, business-oriented attorney who can step into an existing workflow, reduce reliance on outside counsel for commercial contracts, and operate as a responsive partner to the business.


What You'll Do:

Customer Contracts (Core Responsibility:~70–80%)

  • Review, draft, and negotiate:
    • SaaS subscription agreements
    • MSAs, DPAs, BAAs, NDAs, order forms, AI addenda, renewal agreements, and SOWs
  • Partner directly with Sales to support deal execution and timelines
  • Partner with InfoSec and the DPO on data protection and privacy-related contract terms, including DPAs, data security requirements, and HIPAA-related obligations
  • Review and negotiate AI-specific contract terms, including model governance, training data restrictions, output ownership, pass through warranties, and AI-related indemnification
  • Support contract-related issues arising from customer M&A activity, including spinoffs, divestitures, and assignment requests
  • Identify key risks and provide clear, actionable guidance
  • Escalate complex or non-standard issues when appropriate

Contract Efficiency & Consistency

  • Apply consistent standards across contracts
  • Help refine templates and fallback language over time
  • Reduce negotiation friction and contract cycle times
  • Develop and maintain fallback positions and playbook guidance for recurring topics such as indemnification, limitation of liability, AI, data privacy, etc.

Internal Legal Support

  • Provide practical legal guidance on:
    • Customer-specific issues
    • Basic vendor agreements
    • Routine business questions
  • Triage when to involve outside counsel

Outside Counsel Coordination (Limited)

  • Interface with external attorneys for complex or specialized matters
  • Help ensure efficient use of external legal spend

  • Real business risk is effectively managed
  • Deals move faster
  • Reduced spend on outside counsel for contract review
  • Sales views Legal as a helpful partner
  • Contracts become more standardized over time


What We're Looking For:

  • JD and active bar membership
  • 5 years of legal experience 
  • Strong experience with B2B SaaS/commercial contracts
  • Experience negotiating with procurement/legal teams at customers
  • Ability to prioritize and handle volume efficiently
  • Clear, practical communication style (non-academic)
  • Comfortable operating in a fast-paced, execution-oriented environment
  • Experience reviewing and negotiating AI-related contract terms, including AI schedules, data use restrictions, and model governance provisions
  • Working knowledge of data privacy frameworks (GDPR, HIPAA, state privacy laws) and experience negotiating DPAs and BAAs.
  • Exercise the highest level of discretion in the handling and protection of all data and sensitive information.


Nice to Have (Assets):

  • Prior in-house experience at a SaaS company
  • Experience working closely with Sales teams
  • Experience with governance and regulatory compliance related SaaS.
