Corelight is looking for an experienced attorney to join Corelight’s growing legal team, reporting to the General Counsel. As Senior Legal Counsel, you will work on problems of diverse scope where analyzing situations or data requires a review of a variety of factors. You will be responsible for reviewing and negotiating standard and complex customer, distribution, reseller, and business agreements, providing global legal support for commercial transactions and strategic go-to-market initiatives. You will provide business-oriented legal support to company stakeholders across various business groups—including engineering, product management, customer success, finance, labs, professional services, partnership alliances, channel, and sales—and review buy-side agreements related to supply chain management, capacity, infrastructure, equipment, and software. Additionally, you will negotiate hardware, software, and cloud services agreements, address issues related to privacy, AI, data security, and intellectual property (including open source software), and collaborate with legal team members and business stakeholders to support company growth, operational scaling, and the creation of internal policies and partner-facing materials.
Responsibilities
~1 min read- →Draft, review, and negotiate structured and complex commercial and transactional agreements with global partners and customers across multiple sales verticals, including financial services, healthcare, manufacturing, public sector (federal and SLED), and international public sector;
- →Counsel on compliance issues related to privacy, AI, product development, regulatory frameworks, and U.S. and international public sector requirements, exercising judgment within defined procedures and practices to determine appropriate action; and
- →Assist with creating and maintaining enablement materials (subject matter playbooks, FAQs, training, and collateral) for the legal team and cross-functional partners to streamline recurring legal processes.
- Strong negotiation and interpersonal skills needed to successfully complete complex transactions;
- Strong analytical capabilities and excellent judgment in solving a wide range of complex problems with practical, business-oriented solutions;
- A great positive attitude;
- The ability to work proactively and reliably under general supervision and tight time frames in a fast-paced environment;
- Ability to pivot and adapt quickly and fluidly, think practically, and be solution-oriented; and
- Curiosity and a willingness to tackle matters outside their primary area of expertise.
Requirements
~1 min read- Law degree and admission to a state bar with good standing;
- 5-8 years of related experience as in-house counsel at a technology company and/or law firm, focusing on technology transactions;
- Self-starter with the ability to meet or exceed deadlines, prioritize, multi-task, and maintain flexibility in a fast-paced changing environment;
- Collaborative team player with a strong desire to provide business-focused legal support in connection with technology sales and licensing;
- Substantive knowledge in the areas of privacy, software, and technology licensing;
- Experience providing legal support for commercial transactions; and
- Clear and concise written and oral communication skills.

The compensation for this position may vary depending on factors such as your location, skills and experience. Depending on the nature and seniority of the role, a percentage of compensation may come in the form of a commission-based or discretionary bonus. Equity and additional benefits will also be awarded.
