- →Develop, maintain, and continuously improve the Group’s corporate governance frameworks in line with regulatory expectations and best practices.
- →Ensure governance frameworks scale appropriately with organizational growth and increasing regulatory scrutiny.
- →Maintain governance manuals, charters, and internal governance documentation.
- →Policies and Procedures:
- →Draft, review, and update group-wide policies and procedures.
- →Ensure policies are properly approved, communicated, and embedded into business operations.
- →Support consistent interpretation and application of governance policies across subsidiaries.
- →Board & Committee Governance
- →Support governance aspects of board and committee structures, including charters, mandates, and annual calendars.
- →Assist in ensuring appropriate governance practices at board and committee level as the organization matures.
- →Contribute to governance-related board and committee materials and disclosures.
- →Governance Implementation & Embedding
- →Work with business, legal, finance, compliance, and risk teams to embed governance requirements into day-to-day processes.
- →Support rollout, awareness, and practical adoption of governance frameworks and policies.
- →Act as an internal advisor to management on governance expectations and best practices.
- →Regulatory & IPO-Readiness Alignment
- →Ensure governance frameworks and documentation are aligned with applicable Saudi regulations and evolving IPO-readiness expectations.
- →Support interactions with regulators, auditors, and advisors on governance-related matters.
- →Contribute to governance disclosures required for fundraising, regulatory submissions, and future listing processes.
- →Governance Monitoring & Reporting
- →Monitor adherence to governance policies and frameworks across the Group.
- →Identify governance issues, inconsistencies, or areas requiring enhancement and coordinate corrective actions.
- →Prepare governance updates and reporting for senior management and relevant committees.
