Our flagship product, the NodeZeroTM platform, delivers production-safe autonomous pentests and other key assessment operations that scale across the largest internal, external, cloud, and hybrid cloud environments. NodeZero has been adopted by organizations of all sizes, from small educational institutions to government agencies and Global 100 enterprises. It is used by ITOps/SecOps teams, consulting pentesters, and MSSPs and MSPs.
We are a fusion of former U.S. Special Operations cyber operators, startup engineers, and formerly frustrated cybersecurity practitioners. We're committed to helping solve our common security problems: ineffective security tools, false positives resulting in alert fatigue, blind spots, "checkbox” security culture, cybersecurity skills shortage, and the long lead time and expense of hiring outside consultants. We are seeking a Commercial Counsel to support a high volume of commercial transactions across our Sales, Channel/Alliances, and Customer Success teams. This role is well-suited for someone with a few years of experience in SaaS or technology contracting who is looking to deepen their in-house experience in a fast-paced, high-growth environment.
You will work closely with go-to-market teams to review, negotiate, and close standard commercial agreements, with a focus on efficiency, consistency, and enabling deal velocity. While you’ll primarily support recurring deal patterns (NDAs, MSAs, DPAs, and order forms), you’ll also gain exposure to more complex customer and partner agreements over time.
This is a hands-on, business-facing role where you’ll build strong relationships with Sales and cross-functional partners, develop practical judgment, and contribute to improving templates and processes as the company scales.
Responsibilities
~1 min readDraft, review, and negotiate a high volume of commercial agreements, including:
NDAs, SaaS subscription agreements (MSAs), order forms, and DPAs
Evaluation and trial agreements
Support Sales and Customer Success teams in closing deals efficiently while aligning with company risk guidelines
Review and respond to customer contract requests, including redlines on standard agreements and occasional customer paper
Partner closely with Sales and RevOps to keep deals moving and unblock contract-related issues
Help balance speed and risk by providing clear, practical guidance to non-legal stakeholders
Escalate more complex or non-standard issues appropriately
Use and help maintain standard templates, clause libraries, and negotiation guidelines
Contribute to improving contract workflows and processes to support a high-volume sales environment
Identify recurring issues and help drive consistency in how they’re handled
Work with internal teams (Sales, RevOps, and Security/Privacy) to ensure contract terms align with our business and product
Provide clear, concise guidance on common contract terms and when to involve Legal
Support internal enablement efforts by helping stakeholders better understand standard terms and processes
Requirements

3–5+ years of relevant experience at a law firm and/or in-house, with a strong focus on commercial technology transactions.
Direct experience with:
Negotiating SaaS or cloud-based software agreements (customer and, ideally, partner/channel deals).
Data protection/security issues in commercial contracts (e.g., DPAs, security exhibits, incident response, audit rights).
Excellent contract drafting, negotiation, and communication skills, with the ability to give succinct, actionable advice to non-lawyers.
Demonstrated ability to manage multiple deals and priorities in a fast-paced, high-growth environment.
Requirements

Experience supporting channel, MSP/MSSP, or distributor models.
Familiarity with international contracting issues (e.g., cross-border data transfers, GDPR basics, export control).
Comfort leveraging AI and legal tech tools to streamline drafting, review, and knowledge management.
Business-minded and pragmatic: you balance risk mitigation with revenue enablement.
Comfortable working independently but enjoy collaborating with Sales, Channel, Product, Finance, and Security.
Strong ownership mentality; you like building and iterating on templates, processes, and playbooks—not just running them.
Clear, calm communicator who can operate under time pressure and with incomplete information.
