We are currently looking for a Legal Counsel to join our Corporate and Intra-Group Legal team. This is a mid-level role focused on providing legal support for corporate matters across JetBrains’ international operations, both within and outside the EU, and supporting the legal framework among entities within the group.
In this role, you will work closely with other legal colleagues and cross-functional teams to support corporate structuring, entity maintenance, and intra-group arrangements.
Responsibilities
~2 min read- →Provide legal support for corporate matters relating to JetBrains group entities across various jurisdictions, including EU and non-EU countries.
- →Support the ongoing corporate maintenance of group companies through activities such as corporate approvals, board and shareholder resolutions, powers of attorney, amendments to constitutional documents, director and officer changes, shareholding matters, and other corporate actions.
- →Manage and coordinate corporate legal workstreams, including incorporations, liquidations, reorganizations, changes in ownership structures, capital contributions, intra-group financing arrangements, and other cross-border corporate matters.
- →Support the intra-group legal agenda, including drafting, reviewing, updating, and maintaining intra-group agreements between JetBrains entities, such as service agreements, cost allocation arrangements, financing documentation, and other legal instruments required to support the group’s operating model.
- →Help ensure that the group’s entities are properly interconnected through appropriate legal documentation and operate within a coherent contractual framework.
- →Coordinate input from tax, finance, accounting, treasury, HR, procurement, and other internal teams where required for corporate and intra-group matters.
- →Engage with external counsel, corporate service providers, notaries, trade registers, public authorities, banks, and other external stakeholders regarding corporate and intra-group matters.
- →Review and coordinate legal advice received from external counsel, identify practical implications for JetBrains, and prepare concise summaries and recommendations for internal stakeholders.
- →Conduct legal research on corporate and intra-group matters in various jurisdictions and prepare structured legal memos, summaries, and comparative analyses.
- →Support the development and improvement of corporate and intra-group legal templates, internal guidance, signing processes, corporate document repositories, trackers, and knowledge databases.
- →Proactively identify, propose, and implement automation and process improvement initiatives for corporate and intra-group legal workstreams, including the responsible use of AI tools, to improve efficiency, consistency, scalability, document quality, knowledge management, and the internal stakeholder experience.
- →Identify and assess legal risks associated with corporate decisions, group structuring, intra-group arrangements, and entity governance, and escalate complex matters where appropriate.
Requirements
~1 min read- Fluency in English, both written and spoken, with professional proficiency in an additional language (such as Dutch, Polish, or Greek) being an advantage.
- A university-level degree in law, equivalent to a bachelor’s or higher, from a recognized institution.
- Post-graduate legal experience in the corporate law field, preferably gained within a multinational corporation or an international law firm.
- Experience working with legislative systems across multiple jurisdictions, particularly in the Netherlands, Cyprus, the UAE, the UK, Poland, or Israel.
- Adaptability when dealing with foreign laws and novel concepts.
- The ability to provide clear and concise legal advice that is understandable to a wide audience.
- The ability to adapt to large and complex structures with varying priorities and tight deadlines.
- The ability to manage parallel projects and lead various initiatives.
- Creative flair and lateral problem-solving skills, supported by thorough research.
- Sharp critical thinking and analytical abilities.
- Experience with, or a strong interest in, legal automation, AI-assisted legal workflows, knowledge management tools, and process optimization in an international legal environment.
