Thanks for your interest in Oklo! We are searching for a Senior Counsel, Corporate to join our Legal team.
The Senior Counsel, Corporate will play a critical role supporting the Company’s continued growth across the business. We are looking for a junior-to-mid-level corporate attorney with 3-5 years of experience to help us across a range of needs. Primarily, this person will support our public company and corporate legal work, including SEC filings and public disclosure matters (e.g., annual and quarterly reports, proxy statement preparation, and Section 16 and Section 13 reporting matters), NYSE compliance, capital markets and financing support, annual meeting preparation, and diligence and negotiations for potential M&A and other strategic transactions. As a high growth company, you will also help out with ad hoc commercial contracting, legal research, and other legal needs across the company as they arise. This role, which reports to our Associate General Counsel, is perfect for a junior-to-mid-level transactional attorney who is comfortable acting as a corporate generalist, and who is looking to stretch themselves, learn, and roll up their sleeves and lean in wherever needed in a highly dynamic environment.

Responsibilities
~1 min read- →Assist with preparing and reviewing our SEC filings and related disclosure materials, including our annual and quarterly reports, proxy statement, Section 16 and Section 13 reporting matters, and other public company reporting obligations
- →Support M&A and capital markets transactions, including diligence, document reviews, and deal timeline execution (i.e., drive deals forward!)
- →Assist with routine corporate legal work, including inter-company agreements, subsidiary management, corporate governance matters, board and committee resolutions and minutes
- →Support compliance with NYSE listing standards and other public company governance requirements
- →Help prepare for our annual meeting of stockholders, including supporting proxy-related work streams and related governance matters
- →Draft, review, and negotiate a variety of strategic transaction documentation and commercial, vendor, partnership, license, and other business agreements
- →Provide practical legal research and advice across a wide range of business teams
- →Help us mature our legal practices and approach, including with respect to routine corporate, disclosure, compliance, and operational matters
Requirements
~1 min read- A J.D. from an ABA-accredited law school and admission to practice law in at least one U.S. state
- 3-5 years of corporate, securities, or transactional experience at a large law firm or in-house legal department
- Experience supporting a public company with SEC filings and board- and committee-related governance needs, including proxy preparation
- Experience with NYSE listing standards and related public company compliance matters
- Experience supporting strategic transactions, including M&A diligence, M&A integration, capital markets, and/or financing transactions
- Experience working at or supporting companies that build things (ideally complicated, heavily regulated things)
- Strong attention to detail and ability to manage and prioritize multiple matters simultaneously
- Experience working in-house at a high-growth or startup company
- Experience with transactional work supporting complex construction or development projects
- Experience with joint ventures and/or project finance
- Experience with real estate transactions and/or environmental matters
- Nuclear, energy, infrastructure, or other highly regulated industry experience
Oklo requires remote employees to travel to headquarters (Santa Clara, CA) twice a quarter annually, based on business or team needs, including attendance at team meetings, off-sites, and other company events or gatherings. For the first two weeks of onboarding, employees are required to be in person at headquarters in Santa Clara, CA.
We are looking for a Senior Counsel, Corporate that is:
- Comfortable supporting a range of legal needs, with a primary focus on securities filings, corporate governance, NYSE compliance, M&A and strategic transactions, financing support, and commercial contracts
- Excited to move deals along and driving urgency among transaction stakeholders
- Effective at triaging and prioritizing across a wide range of tasks and project managing cross-functional tasks to completion
- A systems thinker that is comfortable both building for the long-term and rolling their sleeves up to get things done in the short term
- Substantively agile: someone who enjoys leaning into new areas, and is comfortable learning new things (and learning quickly!)
- Fluent in or able to leverage legal technology or AI tools to work more efficiently
- Willing to think creatively: knowledgeable about how other teams approach legal department needs, but excited to think creatively and critically about the problems they are solving and to try new approaches
- An excellent communicator (including to non-lawyers) focused on solutions and willing to explain the “why” behind legal advice
- Detail-oriented while moving lightning fast
- Passionate about clean energy and making advanced fission a reality
- An optimist at heart
- Resourceful, inquisitive, and willing and able to learn quickly
- Comfortable in a fast-paced, highly iterative startup environment

What We Offer
