The Director, Contracts & Negotiations will lead the review, negotiation, administration, and risk management of commercial agreements across Pearce’s service divisions. This role serves as a strategic business partner to Sales, Operations, Finance, Procurement, Risk Management, and Corporate Administration, balancing business objectives with contractual, operational, and financial risk.

In coordination with Corporate Administration and Legal, you will establish contract standards, develop negotiation strategies, improve contracting processes, and ensure contractual commitments align with Pearce’s operational capabilities and business objectives. You will work closely with internal and external legal counsel; however, this position is not responsible for providing legal advice.

Responsibilities

  • Lead the review, drafting, redlining, and negotiation of MSAs, service agreements, Engineering, Procurement and Construction (EPC) agreements, Design-Build agreements, and other complex commercial contracts.

  • Develop negotiation strategies that protect Pearce’s commercial, operational, and financial interests while supporting revenue, margin, and customer objectives.

  • Evaluate contractual requirements associated with EPC and Design-Build projects, including scope, schedule, performance obligations, change management, payment milestones, warranties, and risk allocation.

  • Identify contractual risks and develop practical solutions in partnership with Sales, Operations, Finance, Procurement, Safety, Billing, and other business stakeholders.

  • Negotiate key commercial terms, including liability, indemnification, warranties, liquidated damages, SLAs, insurance, termination rights, payment terms and escalators, intellectual property, force majeure, and compliance requirements.

  • Ensure compliance with Pearce’s delegation of authority and contract approval requirements.

  • Develop risk-assessment standards and approval workflows for non-standard contract terms.

  • Establish and maintain contract risk reporting, metrics, and performance measures.

  • Coordinate contract renewals and ensure appropriate business teams are informed of upcoming requirements and deadlines.

  • Develop and maintain standard contract terms, templates, negotiation guidelines, and playbooks.

  • Implement and optimize Contract Lifecycle Management (CLM) processes, systems, and workflow automation.

  • Drive continuous improvement initiatives that reduce contract cycle times while maintaining appropriate governance and risk controls.

  • Lead, mentor, and develop contracts professionals and support personnel.

  • Provide contract and negotiation training to business stakeholders.

Requirements

  • 10+ years of experience in commercial contracts, contract negotiations, procurement, strategic sourcing, legal operations, or a related discipline.

  • 5+ years of progressive leadership experience.

  • Demonstrated experience reviewing and negotiating complex commercial agreements and MSAs.

  • Experience supporting multi-million-dollar customer contracts, construction projects, or service engagements.

  • Strong understanding of commercial terms, contract risk allocation, and negotiation strategies.

  • Proven ability to partner with Sales, Operations, Finance, Procurement, Legal, and executive leadership.

  • Strong analytical, negotiation, communication, and stakeholder-management skills.

  • Experience developing contract standards, approval processes, or risk-management frameworks.

  • Ability to manage multiple complex negotiations and priorities in a fast-paced environment.

  • Experience within energy, renewables, telecommunications, infrastructure, construction, engineering, field services, industrial services, or technology.

  • Experience negotiating contracts involving engineering, construction, procurement, or large-scale infrastructure projects.

  • Experience with Contract Lifecycle Management (CLM) platforms.

  • Experience implementing contract-management systems, workflow automation, templates, or contracting playbooks.

  • CCCM, CPCM, or similar contract-management certification.

  • Familiarity with federal, state, and commercial contracting requirements.
