Teamshares is a tech-enabled acquiror of high-quality businesses, intending to be a permanent home for businesses. Part holdco, part fintech, Teamshares programmatically acquires companies with $0.5 to $5 million of EBITDA from retiring owners, integrates them with the Teamshares platform, and helps employees earn company stock. Founded in 2019, Teamshares operates subsidiaries with consolidated revenue of over $400 million across over 40 industries and 30 states.
 
The Role
The Financial Diligence Lead is a manager-level member of our Transaction team's Financial Due Diligence department. You will lead and execute comprehensive financial due diligence reviews for potential acquisitions aligned with Teamshares' core investment thesis. You will play a critical role in evaluating financial viability of small businesses, developing deep financial insights, and supporting investment decision-making from initial diligence through transaction execution.
  • Lead and execute financial due diligence reviews for potential acquisitions, conducting comprehensive analysis of financial statements, accounting practices, tax positions, and historical performance to assess financial viability and identify risks and opportunities.
  • Develop sophisticated financial analyses and pro forma financial models (income statement, balance sheet, free cash flows, sensitivity analyses, and scenarios) to support acquisition thesis development.
  • Perform detailed quality-of-revenue and quality-of-earnings analysis, including identification of one-time items, normalization adjustments, and sustainable earnings capacity.
  • Analyze working capital requirements, cash conversion cycles, and capital expenditure needs based on historical trends and projections.
  • Lead financial accounting and tax due diligence workstreams, including review of GAAP compliance, contingent liabilities, tax compliance, and carve-out accounting issues for addon acquisitions.
  • Develop and present financial and operational insights into each opportunity based on detailed financial data analysis, assessment of accounting processes and controls, and strategic fit with our investment thesis.
  • Work closely with legal, tax, and operational teams to gather relevant information, resolve financial diligence findings, and ensure a holistic approach to due diligence across all functional areas.
  • Prepare comprehensive due diligence reports, financial models, and workbooks outlining key findings, material risks, accounting and tax issues, and opportunities; present findings to the investment committee and leadership in a clear and concise manner.
  • Maintain exceptional attention to detail to ensure all work is free of errors and meets the highest standards of financial analysis quality.
  • Collaborate with the technology team to translate due diligence learnings and key financial insights into actionable software improvements that enhance due diligence efficiency.
  • 4+ years of financial due diligence and buy-side transaction experience, with a minimum of 2-3 years specifically in financial due diligence roles (accounting advisory, private equity, or transaction advisory).
  • Demonstrated expertise in financial accounting, tax accounting (reporting), and business valuation as it applies to small to mid-market acquisitions.
  • Proven experience with quality-of-earnings analysis, normalization adjustments, and working capital assessments.
  • CPA, CA, or CFA certification (strongly preferred).
  • Experience working for a premier or Big 4 accounting firm (strongly preferred).
  • Demonstrated capabilities in evaluating and analyzing small to medium-sized businesses across multiple industries.
  • Strong interest in and passion for empowering employee ownership in small businesses.
  • Entrepreneurial, self-starter mentality, excelling in both team-based and self-directed environments.
  • Highly motivated and able to manage multiple diligence engagements simultaneously while meeting tight deadlines.
  • Exceptional verbal, written, and interpersonal communication skills with ability to explain complex financial concepts clearly to non-financial stakeholders.
  • Strong analytical, organizational, and leadership skills with attention to quality and accuracy.
  • Proficient in Microsoft Excel (advanced) and other presentation tools; comfortable learning new financial software.
  • Self-directed and able to take initiative and ownership of diligence workstreams and lead components of engagements independently.
  • Detail-oriented with high standards for accuracy and thoroughness in financial analysis.
