Job Summary:

We are seeking a highly organized and detail-oriented Corporate/Contracts Paralegal to join our dynamic legal team. A successful candidate will provide comprehensive support in corporate governance, contract management, and equity matters. Also critical to this role is significant experience in foreign entity formation and governance. This role is essential in ensuring the company’s legal compliance and supporting the overall business operations and international growth.

Key Responsibilities:

  • Corporate Governance & International Entity Formation::
    • Assist with the preparation and maintenance of corporate records, including minutes, resolutions, and filings.
    • Coordinate and support board meetings, including the preparation of agendas, meeting materials, and minutes.
    • Assist with international entity formation.

  • Contract Management:
    • Maintain and organize the CLM, ensuring all contracts are up-to-date and accessible.
    • Monitor contract renewals and terminations, ensuring timely and accurate processing.
    • Act as a Legal Team contact for Turing employees regarding the contract review, execution, and database searching process.

  • Equity Matters:
    • Maintain and update the stock plan database, ensuring data integrity and accuracy.
    • Process grants, exercises, and releases of equity awards, ensuring accurate and timely execution.
    • Respond to employee inquiries and resolve any issues related to their equity compensation.

  • General legal and compliance support

Qualifications:

  • Bachelor’s degree or Paralegal Certificate from an ABA-accredited program.
  • Minimum of 3-5 years of experience as a corporate and/or contracts paralegal in a law firm or corporate legal department.
  • Excellent organizational skills and attention to detail.
  • Strong written and verbal communication skills.
  • Ability to handle multiple tasks and prioritize effectively.
  • Proficiency in Microsoft Office Suite and experience with contract management software.
