Job Description
Position: Board of Director
Reporting to: Executive Director and Board of Directors
Location: Global
Time Commitment: 5-8 working days per year
Remuneration: None
Introduction
The Global Tuna Alliance (GTA) is looking for a committed GTA Partner to serve on our organisation’s Board of Directors. The board member’s responsibilities include advising on strategic plans, participating in evaluations, and monitoring our financial affairs. You should also prepare for board meetings, remotely and in person attend them regularly, and actively participate in them. The Global Tuna Alliance:
The Global Tuna Alliance (GTA) is an independent group of retailers and tuna supply chain companies that are committed to the avoidance of IUU products, improved traceability as well as environmental sustainability, and progressing work on human rights in tuna fisheries. GTA operates by utilizing commercial buying power to leverage policy change through direct engagement with tuna fishery managers/decision-makers, and through supply-chain actions.
Role and Responsibilities:
- Strategic Oversight: Provide independent thought, oversight, constructive challenge, and mentorship to the Executive Director and Board of Directors, contributing to the development and evaluation of the organization’s strategy, performance, and risk management.
- Financial Integrity and probity: Ensure the accuracy of financial information and the robustness of financial processes and controls and risk management systems.
- Leadership and Governance: Monitor executive performance, participate in executive appointments and succession planning, and uphold the highest standards of integrity, probity, and corporate governance.
- Values and Reputation: Ensure adherence to and protection of the Global Tuna Alliance’s values and reputation, advocating for the interests of stakeholders and promoting a diverse and inclusive organizational culture.
- Resource and Network Utilization: Leverage networks and connections to bring valuable resources and opportunities to the organization, contributing to its overall direction and success.
Requirements
- Must be a GTA Partner of good standing.
- Must be from the retail sector based in mainland EU or USA
Qualifications and Experience:
- GTA Partner in good standing, prefeably from mainland European or American retail sector
- Independence and Judgment: Must maintain independence, ensuring the ability to exercise independent judgment and provide constructive challenges to various proposals and viewpoints.
- Management and Leadership: Possess strong leadership skills with the ability to contribute effectively during crises or significant organizational changes.
- Professional Experience: Previous experience in a non-executive or advisory role is preferred, showcasing strong communication and interpersonal skills.
- Commitment and Values: A strong commitment to the values and objectives of the Global Tuna Alliance, actively promoting its mission and contributing to its success.
Conflict of Interest:
- The Director must disclose any personal or professional interests that may conflict with their responsibilities as a member of the Board of Directors of the Global Tuna Alliance.
- They are required to abstain from discussions and decisions where a potential conflict of interest arises.
- The Non-Executive Director should act in the best interest of the Global Tuna Alliance at all times and ensure that their other commitments do not interfere with their duties and responsibilities to the organization.
- Any potential conflicts of interest must be disclosed to the Executive Director and the Management Board in a timely manner
