Join Aprio's Legal team and you will help clients maximize their opportunities.  Aprio Advisory Group, LLC is a progressive, fast-growing firm looking for a Commercial, Counsel to join their dynamic team. 
 
Our in-house legal team is looking for a Commercial Contracts Attorney to join a highly collaborative, high-visibility function that partners with stakeholders across every level of the firm. This is a unique opportunity for an early-career attorney to step into a dynamic, hands-on role where no two days look the same. You will serve as a key legal advisor on a broad range of commercial matters while also gaining meaningful exposure to corporate governance, legal technology, compliance, and dispute resolution. Commercial Contracts
  • Draft, negotiate, review, and redline a wide variety of commercial agreements, including Non-Disclosure Agreements (NDAs), Business Associate Agreements (BAAs), Data Processing Agreements (DPAs), Engagement Letters, Master Services Agreements (MSAs), Vendor Agreements, and other related commercial contracts.
  • Serve as a primary point of contact for internal business teams seeking legal guidance on contract terms, risk allocation, and commercial deal structure.
  • Develop and maintain template libraries, playbooks, and clause banks to drive efficiency and consistency across the contracting process.
  • Corporate Governance and Legal Entity Management
  • Support internal governance functions, including entity formation, maintenance, and organizational documentation.
  • Assist with corporate recordkeeping, board and management resolutions, and entity compliance across multiple jurisdictions.
  • Client Service Issue Resolution
  • Assist with the identification, analysis, and resolution of client service disputes, claims, and related matters.
  • Partner with firm leadership and engagement teams to develop practical, business-minded solutions that protect the firm while preserving client relationships.
  • Legal Technology Management
  • Support the firm's legal tech stack, including contract lifecycle management (CLM) tools, matter management platforms, and other legal operations technology.
  • Contribute to initiatives aimed at leveraging technology to streamline legal workflows and enhance the team's efficiency and impact.
  • KYC/KYS Compliance Initiatives
  • Participate in the firm's Know Your Client (KYC) and Know Your Supplier (KYS) compliance programs, including due diligence reviews and risk assessments.
  • Collaborate with compliance and business intake teams to ensure adherence to firm policies and applicable regulatory requirements.
  •  Insurance Coordination
  • Coordinate insurance-related requests, including certificate of insurance inquiries, policy reviews, and coverage questions.
  • Liaise with brokers and internal stakeholders to support the firm's insurance programs and respond to related legal matters.
  • Required:
  • Juris Doctor (JD) from an accredited law school.
  • Active bar admission in at least one U.S. jurisdiction and in good standing.
  • Zero to two years of legal experience, which may include law firm, in-house, clerkship, or fellowship experience.
  •  
    Preferred:
  • Exposure to commercial contracts, transactional work, or corporate governance through prior employment, internships, or law school clinics.
  • Demonstrated interest in legal technology, legal operations, or process improvement.
  • Strong written and verbal communication skills, with the ability to translate complex legal concepts into clear, actionable business guidance.
  • A collaborative mindset, intellectual curiosity, and a genuine enthusiasm for working across functions and disciplines.
  • Comfort operating in a fast-paced, evolving environment where initiative and adaptability are valued.
