Position Summary

We are seeking a motivated and business-minded Contract Attorney with 3–5 years of relevant legal experience to support a broad range of commercial, contractual, and compliance matters. The ideal candidate will have hands-on experience reviewing and drafting commercial agreements, including software licensing agreements for both on-premises and SaaS solutions.

This role requires strong analytical and drafting skills, sound business judgment, attention to detail, and the flexibility to take on a variety of legal and business projects. The successful candidate will be comfortable learning new areas, working collaboratively with internal stakeholders, and managing multiple priorities in a fast-paced environment.

Principal Duties & Responsibilities

  • Review, draft, revise, and negotiate a variety of commercial agreements, including:
    • Sales and customer agreements
    • Software license agreements
    • SaaS and on-premises software agreements
    • Vendor and supplier agreements
    • Non-Disclosure Agreements (NDAs)
    • Other commercial contracts and related documents
  • Partner with internal stakeholders to understand business objectives, identify contractual risks, and provide practical legal guidance.
  • Assist with the preparation and legal review of Requests for Proposal (RFPs) and related customer submissions.
  • Coordinate and manage responses to customer and government security questionnaires, audits, and other compliance-related requests.
  • Review contract terms related to data security, confidentiality, intellectual property, licensing, warranties, indemnification, limitation of liability, and other commercial matters.
  • Support contract lifecycle activities, including maintaining accurate documentation and helping ensure contractual obligations and requirements are understood by appropriate stakeholders.
  • Conduct legal research and provide guidance on commercial and contractual matters as needed.
  • Work collaboratively with Legal, Sales, Finance, Information Security, Procurement, and other business functions.
  • Assist with special projects and other legal or business matters as assigned.
  • Demonstrate flexibility and a willingness to take on unfamiliar projects, develop new skills, and expand knowledge into new areas based on business needs.

Required

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active and in good standing with at least one U.S. state bar.
  • 3–5 years of relevant legal experience, preferably involving commercial contracts and technology transactions.
  • Demonstrated experience drafting, reviewing, and negotiating commercial agreements.
  • Hands-on experience with software licensing agreements, including both on-premises software and SaaS arrangements.
  • Strong contract drafting, negotiation, analytical, and problem-solving skills.
  • Ability to identify legal and business risks and communicate them clearly to non-legal stakeholders.
  • Strong organizational skills with the ability to manage multiple assignments and competing priorities.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and commitment to producing high-quality work.
  • Ability to work independently while collaborating effectively across departments.
  • Willingness to take on a wide variety of projects and learn new subject areas and skills.

Preferred

  • Experience supporting technology, software, or other business-to-business commercial transactions.
  • Experience assisting with RFPs, customer security questionnaires, government questionnaires, or audit responses.
  • Familiarity with information security, data privacy, and technology-related contractual provisions.
  • Experience working directly with Sales, Information Security, Procurement, Finance, or other cross-functional business teams.
