This role supports Brightcore's Legal function by owning the systems, records, and recurring compliance workflows that keep the department running efficiently. Reporting to the General Counsel, with day-to-day direction from the Associate Counsel, the Legal Operations & Compliance Specialist administers legal operations infrastructure (contract templates, tools and playbook, matter intake and workflow tracking), corporate compliance and governance (entity management and licensing, board support), and ongoing program administration (commercial insurance program, corporate policies and SOPs, commercial vendor agreements, the legal document repository and records-retention program, contract lifecycle and execution administration, subcontractor and vendor compliance, and outside counsel spend). This is an execution and systems-focused position, which serves as a key coordination point between Legal and other Brightcore teams.

Responsibilities

  • This position does not have supervisory responsibility.
  • Maintain the Legal department’s contract template library, negotiation playbook, and related standard forms; respond to stakeholder questions on template selection and use; perform first-pass comparisons of incoming drafts against approved playbook positions; and maintain version control, effective dates, and a change log for template and playbook revisions.
  • Administer the Legal department’s matter-management workflows, and maintain connectivity with the workflows of Business Development, Operations and other internal workflows.
  • Build and maintain obligation summaries for signed agreements.
  • Administer the current AI tools in accordance with the Company's Responsible AI Use Policy; support stakeholder questions and train Legal and business users on approved use.
  • Evaluate and improve how Legal uses its current tools, and assess, pilot, and recommend additional tools to increase the efficiency and consistency of Legal workflows.
  • Maintain and update the litigation and dispute tracker, and administer litigation holds.
  • Track entity registrations, foreign qualifications, business and professional licenses, public-works contractor registrations, and new-jurisdiction requirements across applicable jurisdictions.
  • Support registration of the Company's apprenticeship program in all states of operation.
  • Support the Company’s insurance program by maintaining current coverage summaries, coordinating renewal documentation with the broker, and reviewing insurance and indemnification requirements in commercial contracts for consistency with the Company’s coverage program, escalating gaps to counsel.
  • Assist in drafting, maintaining, and updating corporate policies and Legal SOPs; respond to stakeholder questions about existing policies; and refresh materials as the business or applicable regulations change.
  • Maintain the vendor agreement tracker for commercial and corporate vendors, including expirations, renewals, and standard positions.
  • Support the subcontractor pre-qualification process with Finance and Operations, and maintain the pre-qual record set.
  • Support corporate governance administration by compiling quarterly board packages, coordinating minutes and supporting materials, preparing occasional UWCs for counsel review, and maintaining minute books, governance records, and organizational documents.
  • Maintain the Legal department’s document repository and records-retention process.
  • Maintain the outside counsel engagement tracker, track legal spend against budget, and support periodic legal budget reporting.
  • All other duties and projects as assigned.

Requirements

  • Bachelor’s degree and 3+ years of experience in a corporate legal department, law firm, or compliance function, in a paralegal, legal operations, or compliance capacity.
  • Working knowledge of corporate governance and multi-state compliance.
  • Experience working with legal contracts, and maintaining contract obligation trackers, template libraries, and negotiation playbooks.
  • Familiarity with corporate insurance concepts.
  • Proficiency with Microsoft Office (Word, Excel, SharePoint), workflow/matter-management tools such as Monday.com, AI tools (foundation LLMs and specialty contract tools); experience with CRM integration (e.g., HubSpot) a plus.
  • Exceptional organization, attention to detail, prioritization and work ethic.
  • Excellent written and verbal communication skills.
  • Courteous, responsible, self-driven and flexible team player.
  • Ability to handle confidential and privileged information with discretion and sound judgment.
  • Experience supporting a construction, energy, real estate, or multi-entity/multi-state organization strongly preferred.
  • Notary Public commission, or willingness to obtain one, preferred.
  • Office presence required at least three (3) days per week, unless otherwise agreed upon with final approval by direct supervisor.

An employee is expected to work a minimum of forty (40) hours per week. Non-exempt employees are eligible for overtime pay in accordance with applicable wage and hour laws, while exempt employees may be required to work additional hours as necessary to fulfill their job responsibilities. Overtime requirements will be determined based on the operational needs of the organization. The salary range and/or hourly rate listed is a good faith determination of potential base compensation that may be offered to a successful applicant for this position at the time of this job advertisement and may be modified in the future. When determining an employee’s base salary and/or rate, several factors may be considered as applicable (e.g., location, specialty, years of relevant experience, education, credentials, and internal equity). Brightcore also offers a comprehensive set of benefits to complement the base salary. The base annual salary range for this position is $90,000-$110,000 and is eligible for an annual performance-based bonus.

Brightcore currently offers both traditional and Roth 401k plans with a dollar-for-dollar match of up to 3% of contributions and $0.50 on the next 2% for a total potential match of 4% annually.
