To expand our successful operation in Germany, we are hiring a Loan Transaction Manager in Frankfurt. The Transaction Manager will liaise very closely with the Transaction Management Group in London, which is GLAS’s headquarter. The Transaction Manager is responsible for managing the entire live cycle of the loan as Agent, from deal funding to loan exit. This includes reviewing and negotiating Finance- and Security Documents, co-ordinating the transaction closing process, managing waivers and consents requests and participating in loan repayments, refinancings, debt restructurings, prolongations and potential insolvencies. The Transaction Manager is responsible for a specific loan portfolio and is the primary contact for any borrowers, lenders and advisors for all ongoing non-operational matters.


To be successful in your role


We are looking for a dynamic individual able to work in an entrepreneurial fast pace working environment. To be successful in this role you are an effective communicator with excellent communication skills both in English and German (written and verbal).  As Loan Transaction Manager you have a “can-do” and problem-solving attitude and are keen to learn and to progress your career. You are eager to stay up to date on industry financing trends and regulatory changes. Any experience in Capital Markets transactions is a plus, but not essential.

 

 Responsibilities


  • Reviewing and negotiating a wide range of Finance Documents in close cooperation with internal and external legal Counsels (Credit Agreements, Intercreditor Agreements, Security Documents, Subscription Agreements, etc.) 
  • Managing the entire deal closing process with internal departments and all external participants (Legal Counsels, Client Services, Compliance, Borrowers, Sponsors, Lenders, Advisors)
  • Managing the funding process for new loan transactions or bond issuances as Agent including reviewing and commenting on Deal Fund-Flows
  • Reviewing Risk-Free-Rate replacement mechanics (LIBOR)
  • Managing and executing Utilisation Requests as Agent throughout the entire live cycle of the transaction
  • Managing and co-ordinating loan waiver and consent requests under the Credit Agreement with all participants and arranging for appropriate Lender voting 
  • Managing loan exits and complex loan events (repayments, refinancings, debt restructurings, prolongations, insolvencies)
  • Monitoring margin rachet events and loan covenants throughout the live cycle of the loan
  • Managing and actioning any corporate actions 
  • Attending Industry events and maintaining and building strong relationships with banks, investment banks, debt & equity funds, sponsors, law-firms, debt advisors, etc
