Ice Miller seeks a senior level associate to join our Real Estate Practice Group in New York, Chicago, Cleveland, Columbus, Indianapolis or Philadelphia. Ideal candidates will have five (5) to eight (8) years of experience. This role represents an opportunity to advise private equity funds, independent sponsors, developers, investors, lenders, and corporate clients on complex real estate and business transactions involving real estate. The position offers exposure to a nationally recognized team handling high-value matters across acquisitions, dispositions, leasing, and financing.
Ideal candidates will have a strong background in both real estate and broader business transactions, with the ability to collaborate across multidisciplinary teams and practice areas.
Responsibilities
~1 min read- →Draft and negotiate real estate purchase and sale agreements, leases, easements, and other real estate-related documents
- →Lead the real estate aspects of private equity, independent sponsor and other M&A transactions
- →Lead and manage sophisticated real estate transactions from term sheet through closing
- →Conduct and analyze due diligence, including title and survey review
- →Advise and handle all aspects of real estate matters for clients on development projects, joint ventures, and private equity-backed transactions, including negotiating, drafting, and execution of real estate documents for such transactions
- →Assist with the structuring, negotiation, and documentation of mortgage loans, construction loans, bridge financing, and mezzanine debt arrangements
- →Collaborate with colleagues across corporate, finance, and tax teams to support integrated deal execution
Requirements
~2 min read- Juris Doctor (JD) from an accredited law school with strong academic credentials
- 5+ years of experience in commercial real estate law at a law firm or in-house legal department
- Experience with private equity transactions, particularly as they relate to real estate investments
- Demonstrated experience in commercial leasing, including drafting and negotiating lease agreements
- Strong interest in and experience with real estate transactions as well as business transactions that involve real estate
- Ability to work cross-functionally and adapt in a fast-paced, team-oriented environment
- Excellent drafting, communication, and organizational skills
- Active law license in the state where office is located
- Must have permanent work authorization in the United States

- The salary range for this position in New York is $315,000 to $375,000, in Cleveland, Columbus and Indianapolis is $207,000 to $235,000, and in Chicago and Philadelphia is $245,000 to $297,000 based on experience, plus opportunities for discretionary and hours-based bonus.
