Key Responsibilities
Lead and manage transactional matters involving business, real estate, energy, and commercial law.
Draft, review, structure, and negotiate sophisticated legal agreements and transaction documents.
Handle purchase and sale agreements, asset purchase agreements, joint venture agreements, deeds, leases, and other commercial contracts.
Conduct comprehensive legal due diligence for corporate acquisitions, mergers, real estate transactions, and related matters.
Review property titles, zoning requirements, environmental considerations, and other real estate-related issues.
Advise clients regarding corporate governance, entity formation, contract compliance, and transaction structure.
Identify potential legal and commercial risks and develop practical strategies for risk mitigation.
Manage transactions efficiently from initial planning through execution and closing.
Conduct legal research and provide clear, practical advice concerning applicable state and federal laws and regulations.
Communicate directly with clients, opposing counsel, business stakeholders, and other transaction professionals.
Coordinate with associates, paralegals, and other members of the legal team.
Maintain accurate transaction documentation and ensure deadlines and closing requirements are met.
Support clients in resolving contractual, regulatory, and other commercial issues arising from transactions.

Required Qualifications
Juris Doctor (J.D.) degree from an accredited law school.
Active admission and good standing with the State Bar of Texas.
Minimum of 2 years of professional transactional legal experience.
Experience in real estate law, business/corporate law, energy law, or a closely related practice area.
Strong contract drafting, review, and negotiation skills.
Excellent legal research and analytical abilities.
Strong written and verbal communication skills.
Ability to independently manage multiple matters and competing deadlines.
Strong attention to detail and sound professional judgment.
Ability to work effectively in a fast-paced, client-focused legal environment.

Preferred Qualifications
Experience handling sophisticated commercial real estate transactions.
Experience with oil, gas, energy, or mineral-related transactions.
Experience with mergers, acquisitions, joint ventures, and corporate restructuring.
Experience with title, zoning, environmental, or other real estate due diligence.
Texas Board of Legal Specialization certification, or active progress toward certification, in an applicable area such as:
Commercial Real Estate Law
Residential Real Estate Law
Farm and Ranch Real Estate Law
Construction Law
Property Owners Association Law
Oil, Gas and Mineral Law
Existing portable book of business is a plus but not required.

This is a full-time, on-site lateral position in Corpus Christi, Texas. The attorney will work directly with clients and the firm's legal team and will be expected to manage matters with a high degree of independence and professionalism.

Compensation & Career Growth
Base salary of $115,000–$155,000 annually, depending on qualifications, experience, and overall fit.
