1.Compliance Tasks
• Manage SET and SEC disclosures (e.g., Form 56-1 One Report and notifications to the SET and SEC).
• Evaluate compliance issues and regulatory concerns across the Company.
• Monitor changes in relevant laws and regulations in capital market and recommend appropriate actions.
• Develop, implement and monitor compliance policies, procedures and governance frameworks to ensure compliance
• with capital market laws, SEC/SET regulations, and internal requirements, e.g., Material Transactions (MT), Related Party
• Transactions (RPT) and insider trading.
• Conduct compliance training to promote awareness and understanding of regulatory requirements and internal policies.
2.Governance & Oversight
• Oversee subsidiaries, joint ventures, and associate companies to ensure alignment with the Company's governance standards.
• Provide governance advisory for significant business initiatives, investments, and strategic transactions.
3.Corporate Governance & ESG
• Monitor emerging corporate governance trends and provide updates to the working team and management.
• Support governance benchmarking and external assessments (e.g., CGR, FTSE Russell and other governance-related ratings).
