The Commercial Transactions team within Law and Regulation is seeking a transactional attorney to support a broad and dynamic portfolio of strategic and commercial transactions.

This role is well suited for a motivated attorney looking to use their skills in transactional law to support growing business needs while working closely with other in-house counsel and business stakeholders.

The Commercial Transactions team provides legal and regulatory advice and support in connection with negotiating, closing, and administering various strategic and commercial transactions and relationships throughout the enterprise, including intercompany agreements, and vendor transactions such as digital marketing agreements, professional service agreements, and technology agreements for all types of goods and services.

Responsibilities

  • Structure, draft, and negotiate commercial agreements—especially those involving procurement of technology and/or service arrangements.
  • Provide real time, business-focused commercial legal advice on commercial contracts, including SaaS and other technology agreements, digital marketing, and contract amendments.
  • Supports senior counsel on various third-party risk management initiatives
  • Identify potential issues related to data, privacy, and intellectual property for collaboration with and escalation to internal subject matter experts.
  • Effectively collaborate with cross-functional teams such as Finance, Risk and Compliance, Privacy, Security, IT, HR, and within Legal to identify and solve problems, build partnerships, and complete commercial transactions. 
  • Anticipate legal concerns and provide creative problem solving in a dynamic business environment.
  • Contribute to the development of templates, playbooks, and process improvements to support efficient contract review and negotiation.
  • This is a remote role with travel required. While the position is open to remote candidates across the U.S., preferred home office locations include Chicago, IL; Dallas, TX; Charlotte, NC; or Scottsdale, AZ due to team collaboration and business travel considerations.
     

  • This job does not have supervisory duties.

  • Juris Doctorate and active bar membership in good standing
  • A minimum of 5 years of legal experience, ideally within a law firm or the in-house legal department of a mid- to large-sized organization, and with strong expertise in commercial contracts, corporate transactions, technology agreements, or marketing/vendor relationships.
  • Familiarity with one or more of the following areas is a plus: privacy, artificial intelligence, intellectual property, data governance, cybersecurity, and/or highly regulated industries.
  • Experience working within a corporate parent company and across a family of affiliated entities.

What We Offer

Compensation offered for this role is 120,000.00 - 190,000.00 annually and is based on experience and qualifications.

The candidate(s) offered this position will be required to submit to a background investigation.
