Senior Manager – Legal Counsel

"Azurity roles are office based and are generally require individuals to be in office Tuesday through Thursday with Monday and Friday as optional days."

This role is for an experienced, practical, and business-oriented attorney to provide broad-based legal support across employment, finance, corporate governance, contracting, and other enterprise matters. The individual will work closely with the VP, General Counsel, North America and business leaders across the organization to provide timely, pragmatic, and risk-calibrated legal advice. The role requires strong business judgment, the ability to manage matters independently, and effective collaboration with stakeholders across multiple functions and jurisdictions. The individual will serve as a trusted day-to-day legal partner, independently handling a broad range of matters while appropriately escalating significant legal, compliance, financial, reputational, or strategic risks.

Employment

• →Serve as the primary legal advisor to HR on employee relations matters, including performance management, investigations, accommodations, and terminations.
• →Advise on employment law matters, including leave and disability issues, wage and hour compliance, worker classification, and workplace complaints.
• →Support workforce restructurings and reductions in force, including planning, documentation, and implementation.
• →Draft and review employment-related agreements, policies, handbooks, and other employee-facing documentation.
• →Coordinate with HR, Compliance, and outside counsel on employment-related matters.

Corporate Governance

• →Support management of North America corporate entities and related corporate records and documentation.
• →Assist with preparation of board and committee materials, including minutes, resolutions, written consents, and presentations.
• →Coordinate with Finance, Tax, Compliance, and other stakeholders on governance and entity-related matters.
• →Support corporate transactions, integrations, reorganizations, and related governance initiatives.
• →Support governance-related diligence, audits, and information requests.

Finance

• →Serve as a legal business partner to Finance on day-to-day legal, regulatory, and operational matters.
• →Support financings, refinancings, lender diligence requests, closings, and ongoing compliance obligations.
• →Advise stakeholders on agreement terms and compliance obligations.
• →Support audits, investigations, diligence efforts, and information requests from lenders, auditors, regulators, and other advisors.
• →Coordinate with Finance, Accounting, Tax, Treasury, and outside counsel on strategic initiatives and other cross-functional matters.

Strategic Legal and Business Partner

• →Support the VP, General Counsel, North America in providing legal advice to infrastructure functions and business leaders.
• →Identify legal and business risks and develop practical, risk-calibrated recommendations.
• →Coordinate with stakeholders globally to support key initiatives and ensure legal matters progress efficiently.
• →Manage day-to-day legal matters independently and appropriately escalate significant legal, compliance, financial, reputational, or strategic risks.

Contracting

• →Review and advise on complex, high-risk, or escalated contract matters.
• →Advise business stakeholders on contract interpretation, dispute resolution, and contractual risk.
• →Support development and maintenance of contract templates, playbooks, and contracting best practices.

General Legal Department Support

• →Work closely with the VP, General Counsel, North America and other Legal & Compliance team members to support efficient workflows and consistent legal support globally.
• →Maintain organized files and records; prepare reports, presentations, trackers, and matter summaries; and support special projects as assigned.
• →Handle confidential information with discretion and professionalism, and escalate issues appropriately.

• Demonstrated ability to exercise sound judgment, identify legal and business risks, and provide practical, solution-oriented advice.
• Ability to manage matters independently while balancing legal risk, business objectives, and stakeholder expectations.
• Strong written and verbal communication skills, with the ability to advise and influence stakeholders across multiple functions and jurisdictions.
• Strong organizational skills and attention to detail, with the ability to manage multiple priorities and deadlines.
• Proficiency with Microsoft Office; experience with Ironclad or similar contract lifecycle management systems preferred.

• JD from an accredited law school and active license to practice in at least one U.S. jurisdiction.
• 3-7+ years of relevant legal experience, preferably with a combination of law firm and in-house experience.
• Experience supporting employment, corporate governance, finance, commercial contracting, and general business counseling matters in a fast-paced environment.
