The Executive Chairman provides strategic leadership and governance for Bob Evans Restaurants, LLC on behalf of its
private equity owners. Serving as the leader of the Board and a key advisor to the Chief Executive Officer, the
Executive Chairman works closely with executive leadership to establish long-term strategy, accelerate value
creation, ensure organizational effectiveness, and maximize returns. The role focuses on enterprise performance,
growth initiatives, capital deployment, risk management, executive talent, and preparation for future liquidity or
exit opportunities.

• Establish and oversee the long-term vision, strategic priorities, and growth agenda of the company.
• Partner with the CEO and executive leadership team to evaluate and approve major strategic initiatives.
• Ensure business strategies support objectives, sustainable growth, and competitive positioning.
• Provide guidance on acquisitions, divestitures, franchising, new business opportunities, and
transformational initiatives.
Board Leadership & Governance
• Lead the Board of Directors and ensure effective governance practices.
• Set Board agendas, facilitate decision-making, and oversee Board effectiveness.
• Ensure compliance with fiduciary responsibilities, corporate governance standards, and legal obligations.
• Serve as the primary liaison between ownership and company leadership.
• Represent the interests of the private equity sponsors and shareholders.
• Monitor progress against the investment thesis and value creation plan.
• Provide oversight of capital allocation decisions, major investments, financing strategies, and liquidity
planning.
• Support preparation and execution of recapitalization, refinancing, sale, merger, or other ownership
transition events.
CEO Partnership & Executive Oversight
• Serve as a strategic advisor, mentor, and thought partner to the CEO.
• Support and evaluate CEO performance against established business and financial objectives.
• Participate in executive succession planning and leadership development.
• Assist in recruiting, retaining, and developing key executive talent.
• Oversee enterprise financial performance, including EBITDA growth, cash flow generation, return on
invested capital, and productivity improvement.
• Review operating results and key performance indicators to ensure achievement of strategic objectives.
• Challenge assumptions and help leadership identify opportunities to improve profitability and enterprise
value.
• Ensure effective oversight of enterprise risk, cybersecurity, legal compliance, food safety, labor relations,
and reputational risk.
• Monitor emerging industry trends and external factors that may impact the business.
• Promote a culture of integrity, accountability, and ethical leadership.
• Maintain relationships with investors, lenders, advisors, and other key stakeholders.
• Serve as an ambassador for the Bob Evans brand and company culture.
• Provide leadership during significant organizational, operational, or market events.

• Significant executive leadership experience as CEO, President, Chairman, Board Director, or comparable
senior executive role.
• Demonstrated success leading consumer, restaurant, retail, hospitality, or multi-unit operating businesses.
• Strong financial acumen, including experience with private equity ownership structures, capital markets,
mergers and acquisitions, and value creation programs.
• Proven ability to advise executive teams and influence strategic decision-making.
• Experience leading organizations through growth, transformation, turnarounds, or liquidity events.
