 This is an executive position supporting revenue-generating activities across all CRx business units, all client products and services, and all distribution channels. The Vice-President, AGC will: (i) review, draft and negotiate a wide variety of contracts, in collaboration with the sales force account managers, and members of the management team, (ii) coordinate with and advise Sales, Finance, Compliance, Operations, Marketing, New Product Development and functions regarding such contracts and applicable state and federal law, and (iii) help the company achieve its business and strategic objectives, including the launch of new products and services. The position insists on strong leadership and an attorney who will take the lead on projects, represent the Legal department internally and with clients and vendors, train new Legal Department colleagues, provide leadership on a range of CRx projects.

Essential Functions

    Handles the review, drafting and negotiation of multi-million dollar client contracts across all lines of business, including but not limited to master services agreements, statements of work, amendments, and related documentation between the company and pharmaceutical companies and payor/PBMs

    Handles the review, drafting and negotiation of distribution channel contracts and business associate agreements between the company and EMR providers and pharmacy companies 

  • →

    Participates in the creation of a robust library of form contracts for new product or service offerings and new distribution channels, and coordinates research of relevant legal or compliance issues as necessary; periodically revises and updates existing standard contracts as the business needs change

    Advises and supports the sales force and senior management regarding contract interpretation and legal issues to ensure compliance with the terms of the contracts, as well as applicable state and federal law

    Advises management regarding the legal aspects of new lines of business, and new product offerings

    Train and educate new Legal employees; Provide Legal and Contract training to new employees in BD, Operations, etc.

    Requirements

    Education/Degree Requirements/Certifications 

    Law degree (J.D.) from a top law school; excellent academic credentials.

    Member of the State Bar of New Jersey or willing to obtain a limited license to practice law in New Jersey.

    Healthcare background is preferred; specifically, familiarity with the Anti-Kickback Statute, OIG, HIPAA, FTC and FDA rules and regulations will be very helpful in this position.

     

    Experience for people management jobs, indicate years required managing people.

    Minimum of four to seven years or more legal experience, preferably including a minimum of three years’ experience at a large well-respected law firm.

     

    Knowledge 

    Full working knowledge of contract drafting and negotiation; robust understanding of contract and regulatory law related to pharma industry.

     

    Skills 

    Excellent drafting skills; demonstrated experience with complicated commercial transactions.

     

    Competencies

    Ability to work well with business teams and get along with a wide variety of people; enjoys interfacing with internal and external clients.

    Adaptability and ability to work on a wide range of matters that arise on a day-to-day basis.

    Excellent communication and inter-personal skills and command of the English language for internal and external communications.

    Provides pragmatic legal advice that reflects an understanding of the business and its key drivers.

     

    Travel or Physical Requirements

    Minimal travel to CRX offices.

     

    Compliance Requirements

    Adhere to all Company Policies, Procedures, and other training consistent with ConnectiveRx's Information Security and Compliance Programs, including but not limited to the following compliances and regulations: SOC1, SOC2, PCI, HIPAA.

    Maintain strict compliance with company and client policies regarding business rules and ethics, as well as applicable local, state and national federal laws.

     

    Compensation & Benefits:  This position offers opportunities for a bonus (or commissions), with total compensation varying based on factors such as location, relevant skills, experience, and capabilities.
