Position Summary The M&A Attorney will be a core legal partner to the Corporate Development team and business leadership, responsible for end-to-end legal support of the company's M&A and strategic transactions. This role is designed for an attorney with meaningful transactional experience who can independently draft and negotiate core deal documentation, lead legal due diligence, and serve as lead internal counsel on acquisitions, divestitures, investments, and strategic partnerships.
Essential Duties and Responsibilities • Transaction Leadership & Deal Execution • Serve as lead internal legal counsel on mergers, acquisitions, divestitures, investments, and strategic transactions from initial diligence through closing and post-closing matters. • Draft, review, and negotiate principal transaction documents, including NDAs, LOIs, term sheets, stock and asset purchase agreements, merger agreements, disclosure schedules, and ancillary agreements (e.g., TSAs, employment and retention agreements, equity-related documents). • Partner closely with Corporate Development, Finance, Tax, HR, IT, and senior management to structure, negotiate, and execute transactions efficiently and in alignment with business objectives. • Legal Due Diligence • Lead and manage all legal due diligence workstreams, including corporate governance, commercial contracts, litigation, compliance and regulatory matters, employment and benefits, intellectual property, data privacy, real estate, and financing matters. • Identify, evaluate, and communicate legal risks, issues, and mitigation strategies clearly to deal teams and executive leadership. • Oversee diligence reporting, issue tracking, remediation planning, and closing deliverables. • Project Management & Cross-Functional Coordination • Own deal timelines, legal workplans, and closing checklists to ensure timely execution of transactions. • Coordinate inputs across functions and manage internal and external stakeholders to resolve legal issues proactively and pragmatically. • Support post-closing integration activities and ongoing compliance obligations related to completed transactions. • Governance, Process & Risk Management • Prepare transaction-related materials for Board and committee review and support related corporate approvals. • Assist with entity formation, reorganizations, and corporate housekeeping matters connected to transactions • Help build, improve, and maintain M&A legal processes, templates, and playbooks to support scalable and repeatable deal execution.
Marginal Functions • Support special legal projects related to strategic initiatives outside of active transactions. • Provide backup support for other corporate legal matters during peak workload periods. • Participate in internal training, knowledge-sharing, or process improvement initiatives. • Assist with ad hoc legal research or analysis at the request of senior legal or business leadership.
Knowledge, Skills, and Abilities • Strong knowledge of U.S. M&A transactions and corporate law principles. • Advanced drafting and negotiation skills for complex commercial and transaction documents. • Ability to independently manage multiple transactions and competing priorities in a fast-paced environment. • Strong analytical, problem-solving, and issue-spotting capabilities. • Business-oriented judgment with a practical, solutions-focused approach to legal risk. • High level of professionalism, discretion, and ability to handle confidential information. • Strong written communication skills for drafting transaction documents, summaries, and Board materials. • Strong verbal communication skills to advise business partners and senior leadership. • Ability to explain complex legal concepts clearly to non-legal stakeholders. • Ability to negotiate effectively with counterparties and external counsel.
Preferred Skills • Experience with private company M&A transactions. • Experience supporting growth-stage, sponsor-backed, or highly acquisitive organizations. • Familiarity with cross-border transactions and related regulatory considerations. • Experience improving legal processes, templates, or playbooks.
Education & Experience • J.D. from an accredited law school. • Active membership in good standing with at least one U.S. state bar (or eligibility for in-house registration). • 4–6 years of M&A and transactional experience, gained at a law firm, in-house legal department, or a combination. • Demonstrated ability to independently run deals and interface directly with senior business leadership
