As a member of Galaxy’s growing legal team, the Associate Counsel will provide legal support for commercial real estate transactions related to data center development, acquisition, leasing, and operations. This role will work closely with internal development, real estate, and operations teams and assist senior attorneys on complex, multi-jurisdictional matters. The Associate Counsel will coordinate with outside counsel as appropriate.
Responsibilities
~1 min read- →Support the structuring, negotiation, and drafting of agreements related to commercial real estate transactions, including acquisitions, dispositions, leases, easements, and related development agreements for data center projects.
- →Assist with due diligence for real estate transactions, including review of title, surveys, zoning, land use, and environmental matters.
- →Draft and negotiate confidentiality agreements, letters of intent, and ancillary real estate and vendor agreements.
- →Support real estate components of M&A and joint venture transactions.
- →Monitor and support compliance with real estate agreements and closing deliverables.
- →Coordinate and supervise outside counsel on real estate matters as needed.
- →Provide day-to-day legal support to internal stakeholders on commercial real estate issues affecting data center projects.
- 2+ years of legal experience with a strong focus on commercial real estate transactions, including acquisitions, leasing, and development.
- Experience supporting real estate transactions for large or complex projects; data center or infrastructure experience preferred but not required.
- Familiarity with managing outside counsel and transaction timelines
- Prior experience at a nationally recognized law firm (big law).
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple matters simultaneously and work effectively in a fast-paced environment.
- Ability to work independently while supporting senior attorneys and cross-functional teams.
- Juris Doctor degree.
- Active member in good standing of at least one U.S. state bar.
