• →Analyzes legal issues and implications on matters related to corporate functions
• →Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
• →Interprets rulings, laws, and regulations
• →Drafts, reviews, and/or negotiates complex legal documents, such as regulatory filings, engagement letters, offering documents, and legal opinions
• →Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference

• 10+ years of experience as an attorney with corporate, securities, and public company corporate governance-related experience
• Active license to practice law in at least one state or the District of Columbia
• Understanding of U.S. public company corporate governance rules, regulations, best practices, subsidiary governance matters, and Delaware corporate law
• Experience advising financial institutions or other complex international corporations on corporate governance matters
• Experience advising boards of directors, board committees, and senior management on governance-related matters
• Demonstrated ability to operate independently and exercise sound judgment on complex and time-sensitive matters
• Strong oral, written, and drafting skills
• Experience leading and participating in cross-functional teams
• Strong business and legal judgment with the highest standards of integrity
• Ability to navigate a complex, evolving financial services environment
