About the Role
~1 min readThis role provides the essential drafting, diligence, and legal oversight required for the execution of the company's energy and related infrastructure strategy. You will be responsible for the negotiation of power-related agreements for the Company's growing energy infrastructure platform, spanning grid-supplied power, on-site and behind-the-meter generation, and the acquisition of power-related assets. This role requires a sophisticated understanding of how energy regulatory frameworks and utility timelines dictate project viability.
You will be responsible for structuring power supply arrangements and managing the legal risks associated with generation, interconnection, and transmission capacity, including drafting and negotiating energy service agreements, power purchase agreements, retail service agreements, fuel supply arrangements, and interconnection and other utility infrastructure agreements. You will be responsible for conducting due diligence related to power availability in connection with potential acquisitions of powered land and related infrastructure assets. Success in this role depends on your ability to align energy obligations with construction schedules, financing covenants, and customer commitments.
- Energy Subject Matter Expert: You possess deep knowledge of the North American power grid, including interconnection, transmission and distribution approval processes, and complex tariff structures. You have deep familiarity procuring power in both regulated utility markets and competitive retail energy markets, with working fluency in one or more major markets (e.g., ERCOT, PJM, MISO, SPP).
- Technical Negotiator: You have a proven track record of lead-negotiating multi-party infrastructure deals.
- Strategic Risk Manager: You can identify and mitigate regulatory and operational dependencies—such as curtailment risks and upgrade obligations—before they impact project delivery.
- Integrated Advisor: You excel at serving as an energy subject-matter expert for cross-functional teams in Strategic Transactions, Finance, and Development, and can translate complex regulatory and commercial issues into clear guidance for business decision-makers.
Responsibilities
~2 min read- →Drive negotiations for interconnection agreements, shared facilities and other co-tenancy agreements, transmission service agreements, distribution arrangements, and other utility infrastructure agreements.
- →Negotiate and structure power supply agreements, energy service agreements, retail energy supply agreements, and ancillary service arrangements.
- →Support the development and procurement of on-site and behind-the-meter generation, including negotiation of fuel supply and gas transportation agreements, equipment supply and EPC arrangements for generation assets, and offtake structures for emerging technologies.
- →Represent the Company's interests in utility large-load tariff proceedings, special contract negotiations, and related regulatory dockets impacting power procurement and cost allocation.
- →Provide legal analysis of utility tariffs and rate structures, and manage regulatory compliance matters associated with owned or contracted generation assets, including FERC, NERC, and state public utility commission requirements.
- →Negotiate energy trading and hedging documentation, including ISDA, NAESB, and EEI master agreements and related credit support arrangements, in coordination with finance and risk teams.
- →Support participation in demand response, curtailment, and ancillary services programs, including structuring arrangements that monetize load flexibility.
- →Support the negotiation of power-related provisions in customer agreements, including power pass-through mechanics, ramp schedules, and power-related service levels, in coordination with leasing and commercial counsel.
- →Advise on renewable energy procurement, including renewable energy certificates (RECs), green tariffs, and structures supporting customer sustainability commitments.
- →Stay current on key policies impacting generation procurement, interconnection, transmission and distribution, and power procurement regulations.
- →Own the power-related portions of project financing deliverables, including diligence requirements and lender covenants.
- →Prepare and negotiate letters of intent, asset purchase agreements, and membership interest purchase agreements related to the acquisition of power-related assets.
- →Manage legal risks and disputes related to operating assets.
- →Direct energy-specific outside law firms with a focus on budget control and internalizing institutional knowledge.
- →Invest in training, mentoring, and scaling of legal and paralegal support resources as the energy platform grows.
Requirements
~1 min read- Active license to practice law in at least one U.S. state and a member in good standing of one U.S. bar.
- Expertise negotiating power purchase agreements, interconnection agreements, retail supply agreements, and utility infrastructure arrangements.
- Familiarity with FERC and state public utility commission regulatory frameworks; experience with NERC reliability standards and energy trading documentation (ISDA/NAESB/EEI) is highly desirable.
- Experience supporting project finance transactions, including lender diligence and covenant negotiation.
- Excellent negotiation, drafting, and communication (written and verbal) skills.
- Strategic thinker with a practical, business-oriented approach to legal issues.
- Ability to manage multiple projects simultaneously in a fast-paced environment.
