Coordinate and support the establishment and ongoing operation of corporate governance processes for an OCC-chartered national bank and affiliated entities, working closely with the Miami Legal Department and senior management. This role combines corporate governance responsibilities with broader legal support, offering exposure to board administration, regulatory matters, legal projects, and strategic initiatives across the organization.

This role plays a critical part in maintaining the governance framework that supports our bank and affiliated entities. You'll help ensure that board and committee activities, corporate records, regulatory requirements, and legal processes are executed efficiently and accurately, while also supporting broader legal initiatives that contribute to the organization's growth, compliance, and long-term success.

Responsibilities

  • →Coordinate board and committee governance processes, including meeting calendars, agendas, materials, board portal administration, and governance deadlines.
  • →Prepare and maintain governance documentation, including minutes, resolutions, written consents, bylaws, minute books, committee charters, and corporate records.
  • →Manage governance-related filings, director and officer onboarding, approvals, signing authorities, powers of attorney, and related corporate actions.
  • →Support examinations, audits, regulatory requests, and governance reviews by organizing documentation and tracking responses and remediation activities.
  • →Conduct legal research, prepare summaries and draft documents, and support regulatory, transactional, and corporate legal matters.
  • →Assist with customer and account documentation, lending documentation, commercial and vendor agreements, disputes, litigation support, and outside counsel coordination.
  • →Support legal technology, document management systems, templates, training initiatives, and international legal integration projects.
  • Demonstrated corporate governance experience within a bank, bank holding company, or other highly regulated financial institution.
  • Minimum of 5 years of relevant corporate governance, corporate secretary, paralegal or corporate legal experience, including meaningful hands-on experience supporting board and committee governance.
  • Demonstrated ability to independently manage recurring board and committee governance processes, anticipate governance requirements and deadlines, and appropriately escalate legal, regulatory or governance matters, with appropriate Legal oversight.
  • Strong drafting, organization, discretion, and attention to detail, with the ability to manage confidential information and competing deadlines.
  • Ability to interact professionally with directors, senior executives, internal stakeholders, and outside counsel.
  • Willingness to support a broad range of legal matters and learn new banking processes and subject areas.
  • Proficiency with Microsoft Office and electronic records management systems.
  • Bachelor's degree, paralegal education, Juris Doctor (J.D.), or equivalent combination of education and relevant experience.

  • Experience with an OCC-regulated national bank or other U.S. banking regulatory environment.
  • Experience supporting a bank launch, charter conversion, organizational restructuring, or similar transformational initiative.
  • Experience with board portals, entity management systems, iManage, or similar legal technology platforms.
  • Experience supporting regulatory examinations, audits, corporate actions, or governance-related projects.
  • Spanish and/or Portuguese language skills.
  • Experience working in international or multicultural environments.

 

Compliance with Anti-Money Laundering and Bank Secrecy Act related principles, laws, rules and regulations, as well as Itau’s related policies and procedures.
