SUMMARY OF THE ROLE 

The Assistant General Counsel, Compliance Officer will be responsible for leading the Company’s enterprise‑wide compliance and ethics framework, ensuring adherence to applicable laws, regulations, and internal governance standards.

This role serves as a strategic advisor to senior leadership, oversees compliance risk management, and drives a culture of integrity across all business operations.

  • Lead the design, implementation, and ongoing enhancement of the Company’s compliance and ethics program, including policies, standards, and procedures aligned with U.S. federal, state, and industryspecific regulations.
  • Advise the General Counsel, executive leadership, and business stakeholders on compliance risks, regulatory developments, and mitigation strategies.
  • Oversee and continuously improve the Company’s compliance framework, including risk assessments, monitoring activities, and corrective action plans.
  • Stay updated on regulatory and enforcement developments and ensure timely updates to compliance programs and internal guidance.
  • Monitor compliance metrics and monitor organizational activities for potential beaches.
  • Lead or supervise internal investigations related to compliance, ethics, and regulatory matters, including remediation and reporting.
  • Manage responses to regulatory inquiries, audits, and examinations.
  • Oversee enterprise compliance training and awareness programs for employees, leadership, and contractors.
  • Establish compliance reporting metrics and present regular updates to the General Counsel and executive leadership.
  • Support corporate governance initiatives and promote ethical decisionmaking across the organization.
  • 7–10+ years of progressive experience in compliance, regulatory, ethics, or risk management roles, preferably within energy, infrastructure, or other highly regulated industries.
  • Demonstrated experience designing, implementing, and overseeing enterprise compliance programs, including areas such as anticorruption, ethics, regulatory compliance, and internal controls.
  • Strong knowledge of U.S. federal and state regulatory frameworks; international or multinational compliance experience preferred.
  • Proven ability to operate as a strategic legal advisor to senior and executive leadership.
  • Excellent judgment, discretion, and integrity when handling sensitive and highrisk matters.
  • Exceptional written and verbal communication skills, with the ability to translate complex legal issues into clear, executiveready guidance.
  • Juris Doctor (JD) from an accredited law school and active license to practice law in the United States. Professional certifications such as Certified Compliance & Ethics Professional (CCEP) are recommended.
Work Environment 
This position operates in a professional office environment with occasional work within or outside of a complex construction environment. This role routinely uses standard office equipment such as computers, phones, photocopiers/fax, filing cabinets, etc.This is primarily a sedentary role; however, the incumbent must be able to stand and/or sit continuously to perform all essential job functions for a full shift.

·  Ability to lift up to 20 lbs. as required in order to lift files, boxes and office equipment as necessary.

·  While performing the duties of this role, the incumbent may be required to talk or hear.
·  The incumbent is required to stand, walk, use hands to handle or feel; and reach with hands and arms.
·  Ability to move throughout all areas of each office/site location and facilities.
·  Able to wear all necessary PPE equipment to perform job functions.
