~1 min readWe are seeking a Commercial Contracts Specialist to oversee and streamline our contract review and management processes in Brazil and LATAM. This role will be responsible for ensuring that all core-business contracts are reviewed efficiently, risks are identified and escalated, and internal stakeholders are supported with clear guidance and tools. This role will report to the company’s Senior Manager of Commercial Contracts, located in Brazil, and serve as the primary point of contact for business-related contractual matters in Brazil and LATAM.
The ideal candidate has strong experience in technology, contract management, advanced English and Spanish expertise, and the ability to balance legal risk with business priorities.
- Review, draft, and negotiate a wide range of commercial agreements (customer, partnership, SaaS, NDAs, MSAs) in Portuguese and Spanish.
- Develop and update the company's contract structure in online sign-through agreements, facilitating product adoption and reducing friction.
- Get involved in strategic cross-border projects within all regions where VTEX operates, including LATAM, North America, EMEA and APAC.
- Build contractual framework over cutting-edge technology matters, such as Artificial Intelligence, Retail Media, and SaaS solutuons.
- Implement AI solutions to streamline contract workflows and reduce deal closure time.
- Ensure contracts align with company policies, compliance requirements, and risk appetite.
- Manage the end-to-end contract lifecycle, including intake, redlining, approvals, and execution, within the company's contract management tools.
- Partner with Sales and Alliances teams to negotiate strategic agreements with VTEX clients and partners within the digital commerce ecosystem.
- Provide cross-functional collaboration with internal stakeholders to ensure contracts reflect business practice, including Finance, Privacy, Information Security, Compliance, and Tech.
- Assist in optimizing and training local teams on the contract management system (CLM) and related tools.
- Ensure that global practices, internal processes, and internal controls are followed throughout contract negotiations and execution.
- An attorney licensed to practice law, with a commercial, contractual, and/or e-commerce background.
- With excellent communication, drafting, and negotiation skills in Portuguese.
- With advanced proficiency in English and Spanish. 3-8 years of legal experience at a leading law firm and/or in-house at a major multinational corporation. Experience in tech companies will be preferred.
- Available to work on site from Monday to Thursday in our offices in Rio de Janeiro or São Paulo.
- Curious, eager to learn as you go and think outside of the legal box;
- Enjoy working collaboratively.
- Able to think of secure and creative solutions for complex contract negotiations with clients.
- Have Interpersonal skills to effectively communicate and coordinate complex issues and projects with diverse levels of management and employees.
- Comfortable working independently in a fast-paced, high-growth environment.
- Attentive to detail and have a sense of quality.
- Average user with basic knowledge of Microsoft Word, Excel, PowerPoint, and Google Suite.
- Experience implementing or managing contract management systems (CLM) is a plus.
