The ideal candidate brings exceptional deal judgment, strong leadership skills, and a practical, business-oriented approach to legal risk in a dynamic, remote-first environment.

  • Lead M&A transactions from letters of intent (LOIs) through due diligence, structuring, negotiation, signing, closing, and post-closing legal matters.

  • Serve as the primary legal partner to Corporate Development and advise senior executives on acquisitions, investments, financings, restructurings, and other strategic initiatives.

  • Manage, coach, and develop the Corporate Counsel, setting priorities, delegating responsibilities, providing performance feedback, and supporting future team expansion.

  • Oversee corporate governance, subsidiary management, entity maintenance, and corporate records across the organization, including remediation of legacy matters.

  • Coordinate post-closing legal activities, including governance updates, entity consolidation, intercompany agreements, outstanding obligations, and integration initiatives.

  • Manage outside counsel relationships, defining expectations for scope, staffing, timelines, quality, and fees while forecasting legal resource requirements and external legal spend.

  • Establish repeatable practices for corporate transactions, including standard LOI positions, negotiation guidance, and approaches to recurring legal issues.

  • Oversee legal readiness for fundraising, financing, and strategic transactions by maintaining accurate corporate records, capitalization information, and due diligence materials.

  • Partner with Finance, Accounting, Compliance, People, and other business teams to provide practical legal guidance, identify material risks, and engage healthcare regulatory specialists when needed.

  • Support additional legal and corporate responsibilities as assigned.
