Designation: Head - Merger and Acquisition Location: New Delhi Industry: Service Industry About Our client: Our Client is a INR 12000 Cr. listed Indian enterprise with a diversified portfolio of subsidiaries across business services. The Opportunity Our client is a listed Indian enterprise valued at INR 12,000 Cr. It is built on scale, a multi-subsidiary structure and an aggressive appetite for inorganic growth. The next phase of that growth will be shaped through acquisitions, strategic investments and the story told to the market. This role puts you at the centre of both. You will decide which companies are acquired, at what price, on what terms, and how the combined story is told to investors and analysts. You will sit in rooms with promoters, bankers and the Investment Committee, and your recommendation will carry weight. Who This Role Is Built For You are likely coming from a service business and have lived its economics: utilisation, headcount-driven margins, client concentration, contract renewals and working capital stretched across receivables. You may have worked in corporate development, strategy, finance, transaction advisory or investment banking within services like staffing, facilities, logistics or other asset-light, people-led sectors. What You Will Own 1. Build and drive the M&A agenda Own the acquisition and investment pipeline end to end, from the first conversation to day one of integration. Source and shape deals directly with promoters, business owners, investment bankers and advisors. Screen targets hard: strategic fit, financial quality, growth runway, client stickiness and key risks. Lead negotiations on valuation, structure, earn-outs and commercial terms. Run multiple live transactions at once, through diligence, approvals and closure. 2. Make the case to the Investment Committee Build and challenge financial models, valuations, scenarios and return analyses. Write the IC notes and transaction memoranda that decisions are made on. Present with conviction and objectivity, and be ready to defend or walk away from a deal. Assess synergies, integration risk and value creation honestly. 3. Find what others miss in diligence Read earnings quality, working capital, cash conversion and liabilities beyond the headline numbers. Coordinate financial, tax, legal, commercial and operational diligence with internal teams and external advisors. Surface deal-breakers early and turn findings into valuation and structuring decisions. 4. Lead the investor narrative Shape the Investor Relations strategy for a listed company, with the credibility of someone who understands the business. Build relationships with institutional investors, analysts, promoters and financial institutions. Craft investor presentations, performance updates and financial narratives that hold up to scrutiny. Represent the company in investor meetings and analyst interactions, keeping disclosures consistent and accurate. 5. Be the strategic voice on the sector Track valuation benchmarks, deal activity, competitor moves and consolidation trends in business services. Identify adjacencies, new platforms and white spaces for inorganic growth. Give management data-backed recommendations they can act on. 6. Lead across the group Work with finance, legal, operations and subsidiary business heads to deliver transactions on time. Manage confidentiality, competing priorities and complex workstreams without losing rigour. Travel as needed to meet promoters, investors, targets and advisors in person. What We Expect From You 10+ years in corporate development, M&A, strategy, investment banking, transaction advisory, private equity or a senior finance and strategy role in a services business. A record of evaluating and executing M&A transactions, including valuation, structuring and diligence. Strong command of financial statements, P&L analysis, cash flows and business economics. Experience writing investment assessments and IC notes, and presenting to senior decision-makers. Experience in investor relations, analyst engagement or senior stakeholder communication, which is essential. Exposure to asset-light or people-intensive service businesses (a strong advantage). The confidence and relationship skills to negotiate with promoters, investors and senior executives. Willingness to travel frequently for face-to-face discussions. Integrity, discretion and professional maturity. Qualifications: CA, MBA (Finance), CFA or an equivalent finance or business qualification. How Success Is Measured Deals you originate and carry from evaluation to closure. The quality and rigour of your analysis and IC recommendations. How well you structure deals and manage diligence. The strength of your relationships with promoters, investors and other external stakeholders. Your ability to earn trust with senior leadership and work across functions.
